01Who We Are

Whiz Technologies Inc., a Delaware corporation doing business as “UnPill Health” (“UnPill,” “we,” “us,” or “our”), operates the website at unpillhealth.com and its subdomains (the “Site”).

This Privacy Policy (this “Policy”) describes the personal information we collect through the Site, how we use and share it, and the choices available to you. It applies to visitors to the Site, including prospective and current client personnel, and to people who contact us, request a demonstration, or subscribe to communications.

02What This Policy Does Not Cover

UnPill delivers its deprescribing programs as a business associate of covered entities under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”). PHI that we create, receive, maintain, or transmit on behalf of a health plan, accountable care organization, health system, provider group, or other covered entity is governed by:

• the business associate agreement (“BAA”) in effect between UnPill and that covered entity;
• any data use agreement (“DUA”) governing a limited data set;
• the master services agreement or other contract between UnPill and that entity; and
• the covered entity’s own Notice of Privacy Practices.

If you are a member or patient whose information UnPill handles in connection with a program sponsored by your health plan or provider organization, please refer to that organization’s Notice of Privacy Practices for a description of your rights regarding your health information. Questions about your health information should be directed to that organization, or to us at contact@unpillhealth.com and we will route the request appropriately.

This Policy also does not apply to information we receive under a contract with a client where that contract governs our handling of the information, or to the practices of any third party we do not control.

03Information We Collect

3.1 Information you provide to us

• Business contact information. When you complete a form on the Site, request a demonstration, download a resource, or otherwise contact us, we collect your first name, last name, business email address, the practice or organization you represent, and any other information you choose to include, such as job title, telephone number, or the contents of your message.
• Communications. If you email, call, or message us, we retain those communications and their contents.
• Event and webinar information. If you register for an event, conference session, or webinar, we collect your registration details and attendance information.

We do not ask for and do not want you to submit PHI, member-level clinical information, Social Security numbers, financial account numbers, or other sensitive personal information through any Site form. See Section 5.

3.2 Information collected automatically

When you visit the Site, we and our service providers may collect:

• IP address and approximate location derived from it;
• browser type and version, operating system, device type, and screen characteristics;
• pages viewed, links clicked, time spent, referring and exit pages, and similar usage data;
• date and time of access; and
• identifiers set by cookies and similar technologies.

Cookies and similar technologies. Cookies are small text files stored by your browser. Pixels and web beacons are small embedded images that allow a server to log information about your device. We use these technologies to operate the Site, remember preferences, measure Site performance, understand which content is useful, and, where applicable, measure the effectiveness of our marketing.

We do not deploy advertising pixels, session replay tools, or third-party marketing trackers on any page or system through which member-level or clinical information is collected or displayed. Tracking technologies described in this Policy are limited to our public marketing Site.

3.3 Information from third parties

We may receive business contact and firmographic information about you or your organization from business data providers, conference and event organizers, professional networking platforms, referral sources, and publicly available sources, and we may combine that information with information we already hold.

04How We Use Information

We use personal information to:

• respond to your inquiries and demonstration requests;
• communicate with you about our services, including sending materials you request;
• evaluate whether our programs are a fit for your organization and prepare proposals;
• operate, maintain, secure, troubleshoot, and improve the Site;
• analyze Site usage and measure the effectiveness of our communications;
• send marketing and educational communications to business contacts, subject to your right to opt out at any time;
• comply with legal obligations, respond to lawful requests, and enforce our agreements; and
• protect the rights, property, and safety of UnPill, our clients, and others, including detecting and preventing fraud and security incidents.

05Please Do Not Submit Health Information Through This Site

Forms on the Site are for business contact purposes only. Do not use them to transmit PHI, member or patient identifiers, claims data, clinical records, or any other sensitive information.

If you are a prospective client sharing a data extract with us for evaluation purposes, that exchange occurs through a separate, contracted, secure channel. We require a mutual non-disclosure agreement before receiving any data extract, a data use agreement before receiving any limited data set, and a business associate agreement before receiving any identifiable PHI. Nothing on this Site constitutes an authorization or agreement to transmit such data.

06How We Share Information

We do not sell personal information, and we do not share personal information for cross-context behavioral advertising as those terms are defined under applicable state privacy laws.

We disclose personal information as follows:

• Service providers. We share information with vendors that perform services for us, including website hosting, cloud infrastructure, customer relationship management, email delivery, analytics, scheduling, electronic signature, and security services. These vendors are contractually restricted to processing information on our instructions and for our purposes.
• Professional advisors. We share information with our attorneys, accountants, auditors, and insurers as reasonably necessary.
• Legal and safety. We disclose information when we believe in good faith that disclosure is required by law, regulation, legal process, or governmental request, or is necessary to protect the rights, property, or safety of UnPill, our clients, our workforce, or the public.
• Corporate transactions. If UnPill is involved in a merger, acquisition, financing, reorganization, or sale of all or substantially all of its assets, personal information may be transferred as part of that transaction, subject to customary confidentiality protections.
• With your direction. We share information as you request or direct.
• Aggregated and de-identified information. We may create and use aggregated or de-identified information that cannot reasonably be used to identify you. Where we hold de-identified information, we maintain it in de-identified form and will not attempt to re-identify it except as permitted by law to test our de-identification methods.

07Retention

We retain personal information for as long as needed for the purposes described in this Policy, including to maintain our business records, comply with legal and contractual obligations, resolve disputes, and enforce our agreements. Retention periods vary depending on the type of information, the purpose for which it was collected, and applicable legal requirements. Retention of PHI is governed by the applicable BAA and underlying services agreement, not by this Policy.

08Security

We maintain administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, disclosure, alteration, and destruction. These include access controls, encryption of data in transit and at rest, workforce training, vendor risk review, logging and monitoring, and a documented incident response process. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Information about our security program, including our HIPAA Security Rule risk analysis and applicable third-party attestations, is available to prospective and current clients under a non-disclosure agreement. Contact contact@unpillhealth.com.

09Your Choices

• Marketing communications. You may opt out of marketing emails by using the unsubscribe link in any such message or by emailing contact@unpillhealth.com. We may still send you administrative or transactional messages related to an active relationship.
• Cookies. Most browsers allow you to refuse or delete cookies through their settings. Disabling cookies may affect Site functionality.
• Analytics. Where we use Google Analytics, you may opt out using the Google Analytics Opt-out Browser Add-on available from Google.
• Opt-out preference signals. We honor the Global Privacy Control (GPC) and comparable browser-based opt-out preference signals where required by applicable law.

10Your Privacy Rights

Depending on where you live, you may have some or all of the following rights with respect to personal information we hold about you:

• Right to know or access, including the right to confirm whether we process your personal information and to obtain a copy in a portable format;
• Right to correct inaccurate personal information;
• Right to delete personal information, subject to legal and contractual exceptions;
• Right to opt out of sale, sharing for cross-context behavioral advertising, or targeted advertising. As stated in Section 6, we do not engage in these activities;
• Right to limit the use and disclosure of sensitive personal information;
• Right to non-discrimination for exercising your rights; and
• Right to appeal a denial of a request, where provided by applicable state law.

How to exercise your rights. Email contact@unpillhealth.com with the subject line “Privacy Request,” or write to us at the address in Section 15. We will verify your identity before responding, which may require you to provide additional information. You may designate an authorized agent to submit a request on your behalf; we may require proof of the agent’s authorization.

Our response. We will respond within the time required by applicable law, generally 45 days, and may extend that period where permitted by providing notice to you.

Appeals. If we decline your request, you may appeal by emailing contact@unpillhealth.com with the subject line “Privacy Appeal.” If we deny your appeal, we will provide information about how to contact your state attorney general.

These rights do not apply to PHI, which is governed by HIPAA and by the applicable covered entity’s Notice of Privacy Practices, or to information subject to other statutory exemptions.

11Consumer Health Data

Certain state laws, including the Washington My Health My Data Act and Nevada Senate Bill 370, regulate “consumer health data” that is not covered by HIPAA.

We do not collect consumer health data through this Site. The Site does not request, and its forms are not designed to receive, information about an individual’s health status, conditions, medications, treatment, or health care services sought or received. Health information that UnPill processes in the course of delivering its programs is PHI held in our capacity as a business associate and is expressly excluded from these laws.

If you believe you have submitted health information to us through the Site, contact contact@unpillhealth.com and we will delete it.

12California Residents

If you are a California resident, this section supplements the information above.

Categories of personal information collected in the past twelve months:

Sources, purposes, and disclosures are described in Sections 3, 4, and 6.

Sale and sharing. We have not sold or shared personal information as those terms are defined under the California Consumer Privacy Act in the preceding twelve months, and we do not do so now. We do not knowingly sell or share the personal information of consumers under 16 years of age.

Retention is described in Section 7. Your rights and how to exercise them are described in Section 10.

Shine the Light. California Civil Code § 1798.83 permits residents to request information about disclosure of personal information to third parties for their direct marketing purposes. We do not make such disclosures.

13Children

The Site is intended for business professionals and is not directed to individuals under 18. We do not knowingly collect personal information from individuals under 18 through the Site. If you believe a minor has provided us information, contact contact@unpillhealth.com and we will delete it.

14Third-Party Sites and United States Operations

The Site may link to websites and services we do not operate. We are not responsible for the privacy practices of those third parties, and we encourage you to review their policies before providing information.

UnPill operates in the United States and intends the Site for use by visitors located in the United States. Information you provide is stored and processed in the United States.

15Changes to This Policy and How to Contact Us

We may update this Policy from time to time. When we do, we will revise the “Last updated” date above and, where required by law, provide additional notice. Your continued use of the Site after an update takes effect indicates your acceptance of the revised Policy.

Questions, requests, and complaints:

This Policy governs the Site only. Our handling of protected health information is governed by our business associate agreements and by HIPAA.

Please Read This First

These Terms of Use (“Terms”) are a binding agreement between you and Whiz Technologies Inc., a Delaware corporation doing business as “UnPill Health” (“UnPill,” “we,” “us,” or “our”), governing your access to and use of the website at unpillhealth.com and its subdomains, and all content, materials, tools, and features made available through it (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Please note in particular:

01Eligibility and Authority

You must be at least 18 years old to use the Site. If you access the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to both you and that organization.

02The Site Is Not a Services Agreement

The Site describes UnPill’s physician-supervised deprescribing programs for accountable care organizations, health systems, provider groups, Medicare Advantage plans, and similar organizations. Nothing on the Site constitutes an offer capable of acceptance, a commitment to provide services, a quotation, or a binding proposal.

UnPill provides services only pursuant to a separately negotiated and executed written agreement, which may include a master services agreement, statement of work, business associate agreement, and data use agreement (together, a “Services Agreement”). In the event of any conflict between these Terms and a Services Agreement, the Services Agreement controls with respect to the services it covers.

Submitting a demonstration request or other form does not obligate either party to enter into a Services Agreement.

03No Medical Advice; No Clinical Relationship

Content on the Site, including descriptions of tapering protocols, drug classes, clinical rationale, and program design, is provided for general informational and educational purposes to organizational decision-makers. It is not medical advice, does not constitute the practice of medicine or pharmacy, and is not a substitute for the judgment of a licensed clinician who knows a specific patient.

Using the Site does not create a physician-patient, pharmacist-patient, or other clinician-patient relationship with UnPill or any of its personnel. Do not start, stop, or change any medication based on information on the Site. Abrupt discontinuation of certain medications, including benzodiazepines and other central nervous system depressants, can cause serious harm. Any medication change should occur only under the supervision of the prescribing clinician.

Within UnPill programs, every taper is approved by the member’s own physician, and all clinical authority remains with that physician.

04Do Not Submit Health or Sensitive Information

Forms and communication channels on the Site are intended for business contact information only. You must not submit through the Site:

• protected health information as defined under HIPAA;
• member, patient, or beneficiary identifiers, claims data, eligibility files, clinical records, or medication histories;
• Social Security numbers, financial account numbers, or payment card data;
• login credentials or access codes; or
• any information subject to 42 C.F.R. Part 2, state health privacy laws, or other heightened protection.

Any evaluation data exchange occurs only through a separate secure channel and only after execution of the appropriate agreements, which will include a mutual non-disclosure agreement, a data use agreement for any limited data set, and a business associate agreement before any identifiable protected health information is transmitted. Nothing on the Site authorizes such a transmission.

If you submit information in violation of this Section, you authorize us to delete it, and we disclaim liability arising from your submission.

05Not Billing, Coding, Legal, Regulatory, or Actuarial Advice

Statements on the Site regarding quality measures, Star Ratings, Part D measure specifications, care management billing codes, reimbursement, or regulatory requirements are general in nature and provided for informational purposes. Measure definitions, payment rules, and regulatory guidance change by program year and vary by program and payer.

You are solely responsible for verifying all such matters against current authority, including guidance from the Centers for Medicare & Medicaid Services and specifications published by the Pharmacy Quality Alliance and other measure stewards, and for consulting your own legal, compliance, coding, and actuarial advisors. UnPill does not provide legal, regulatory, billing, coding, tax, or actuarial advice.

06Illustrative Models and Forward-Looking Statements

The Site includes illustrative figures, including modeled outcomes expressed on a per-population basis, engagement and completion rates, and projected effects on utilization, quality measures, or cost of care. These are modeled defaults based on stated assumptions, not guarantees, warranties, predictions, or commitments of any kind.

Actual results depend on many factors outside our control, including your population characteristics, data quality and completeness, physician participation, member willingness to engage, formulary and benefit design, and clinical circumstances. Any tool on the Site that generates estimates from inputs you provide produces illustrative output only. All assumptions must be verified against your actual data before any impact is quoted, and any contractual commitment regarding performance will appear only in an executed Services Agreement.

07Limited License and Permitted Use

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and to view, download, and print Site materials solely for your organization’s internal evaluation of UnPill’s services. All other uses require our prior written consent.

08Prohibited Conduct

You agree not to:

• use the Site in violation of any applicable law or regulation;
• access, use, or copy the Site or its content to build, train, benchmark, or improve a competing product or service, or to develop or train any machine learning or artificial intelligence model;
• scrape, crawl, harvest, index, or use automated means to access or extract content from the Site, except by well-behaved search engine crawlers that honor our robots.txt;
• resell, sublicense, publicly display, or commercially exploit Site content;
• reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Site;
• probe, scan, or test the vulnerability of the Site or breach or circumvent any security or authentication measure, other than through a coordinated disclosure process we authorize in writing;
• introduce any virus, worm, or other malicious code, or interfere with the operation or integrity of the Site;
• misrepresent your identity, affiliation, or authority, or impersonate any person or entity;
• collect information about other users; or
• remove or obscure any proprietary notice.

09Materials You Submit

You are responsible for any information, feedback, questions, or other materials you submit through the Site (“Submissions”). You represent that you have the right to provide your Submissions and that they do not violate any law or third-party right.

You grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and otherwise exploit your Submissions for any lawful business purpose, including improving our services. This license does not apply to protected health information, to information covered by a non-disclosure agreement or Services Agreement between us, or to information otherwise designated confidential in writing at the time of submission. We are under no obligation to keep Submissions confidential or to compensate you for them.

10Confidentiality of Evaluation Materials

Materials we provide to you in connection with an evaluation, including pricing, proposals, protocols, methodologies, program designs, and analytic outputs, are our confidential information. You agree to use them solely to evaluate a potential relationship with UnPill and not to disclose them to third parties without our written consent, except to your personnel and advisors who need to know and who are bound by confidentiality obligations at least as protective as these. This Section is superseded by any mutual non-disclosure agreement between the parties covering the same subject matter.

11Intellectual Property

The Site and all content, design, text, graphics, logos, protocols, methodologies, software, and other materials made available through it (collectively, “UnPill Materials”) are owned by UnPill or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. “UnPill Health,” the UnPill logo, and related marks are our trademarks. Nothing in these Terms transfers any ownership interest or grants any license except as expressly stated in Section 7. All rights not expressly granted are reserved.

If you believe content on the Site infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to contact@unpillhealth.com.

12Third-Party Sites and Content

The Site may reference or link to third-party websites, publications, studies, and resources. We provide these for convenience and do not control, endorse, verify, or assume responsibility for them. Citations to clinical literature or regulatory guidance are provided for reference and may become outdated. Your use of third-party sites is at your own risk and subject to their terms.

13Disclaimers

THE SITE AND ALL UNPILL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT SITE CONTENT IS ACCURATE, COMPLETE, CURRENT, OR APPLICABLE TO YOUR CIRCUMSTANCES.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNPILL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

THESE LIMITATIONS ALLOCATE RISK BETWEEN THE PARTIES, ARE AN ESSENTIAL BASIS OF THE BARGAIN, AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT LIMIT OR MODIFY ANY LIABILITY ALLOCATION SET FORTH IN AN EXECUTED SERVICES AGREEMENT.

15Indemnification

You agree to defend, indemnify, and hold harmless UnPill and its officers, directors, employees, contractors, and agents from and against any claim, liability, damage, loss, and expense, including reasonable attorneys’ fees, arising out of or relating to (a) your use of the Site, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any information you submit through the Site in violation of Section 4. We may assume exclusive defense and control of any matter subject to indemnification, at our expense, and you agree to cooperate.

16Communications

By providing your business email address, you consent to receive communications from us relating to your inquiry. If you opt in to marketing communications, you may withdraw consent at any time using the unsubscribe link in any such message or by emailing contact@unpillhealth.com. Email is not a secure channel, and you should not use it to transmit confidential or health information.

17Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections 3 through 6 and 9 through 20 survive any termination.

18Changes

We may modify these Terms at any time by posting a revised version with an updated “Last updated” date. Changes take effect when posted. Your continued use of the Site after changes take effect constitutes acceptance. If you do not agree to a change, stop using the Site.

19Governing Law and Venue

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. You and UnPill submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington for any dispute arising out of or relating to these Terms or the Site, and waive any objection to venue or forum non conveniens in those courts.

20General

These Terms, together with the Privacy Policy, are the entire agreement between you and UnPill regarding the Site and supersede all prior understandings on that subject. They do not supersede any executed Services Agreement or non-disclosure agreement. You may not assign these Terms without our written consent; we may assign them freely. Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, it will be enforced to the greatest extent permissible and the remaining provisions will remain in effect. Section headings are for convenience only. There are no third-party beneficiaries. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

21Contact
